Confidentiality Agreement for Cohub42

Effective Date: 2024-01-25

This Confidentiality Agreement is made effective as of the above date by and between Cohub42 ("Disclosing Party") and the user accepting this agreement ("Receiving Party").

Background

Cohub42 and the Receiving Party wish to engage in discussions related to potential collaborations, partnerships, or engagements ("Potential Interaction"), which may involve the exchange of confidential information.

1. Definition of Confidential Information

Confidential Information includes all information, regardless of form, disclosed by Cohub42 to the Receiving Party that is not publicly known and relates to Cohub42's business, including but not limited to technical data, trade secrets, intellectual property, product plans, projects, and business processes.

2. Obligations of the Receiving Party

The Receiving Party agrees to:

• Keep the Confidential Information confidential and not disclose it to any third party without prior written consent.
• Use the Confidential Information solely for the purpose of evaluating or engaging in the Potential Interaction.
• Promptly notify Cohub42 of any misuse or misappropriation of Confidential Information that comes to the Receiving Party's attention.

3. Duration and Termination

This Agreement will remain in effect until either party decides to terminate it. Upon termination, the Receiving Party must destroy or return all copies of the Confidential Information to Cohub42.

4. Return or Destruction of Confidential Information

Upon request, the Receiving Party must return all materials containing Confidential Information, or destroy such materials, and provide written certification of the destruction.

5. Non-Solicitation

For one year post-termination, the Receiving Party agrees not to solicit or hire any employees or contractors of Cohub42 without prior written consent.

6. Remedies

Breach of this Agreement could cause irreparable harm to Cohub42, and monetary damages may not be a sufficient remedy. Cohub42 is entitled to seek injunctive relief, in addition to any other remedies available.

7. No Warranty

Confidential Information is provided "as is," without any warranty of any kind.

8. Governing Law

This Agreement shall be governed by the laws of [Insert Jurisdiction].

9. Entire Agreement

This document constitutes the entire agreement between the parties regarding confidentiality.
